Primo Service Agreement
Version 0.1 · updated 2026-10-27. Written in plain language on purpose.
This agreement is between [your legal name], a sole proprietor in British Columbia, Canada, operating as Primo ("we", "us") and the streamer named on the order ("you"). It starts when you pay for, or confirm in writing, a plan or a pilot.
1. What we do
1.1 We provide the services in the plan you choose (the "Plan", see Schedule A): picking moments from your streams, editing them into vertical short videos ("Shorts"), and, where your Plan includes it, posting them to the accounts you choose and reporting on results.
1.2 We use software tools, including AI transcription and editing tools, to help. A person reviews every Short before it's delivered or posted.
1.3 You must be at least 18 years old. Your channel must not be primarily adult content.
2. You own everything
2.1 Your accounts, your footage, your audience and your income stay yours. Nothing in this agreement transfers them to us.
2.2 Shorts belong to you. We assign to you all rights we have in each Short, caption file, thumbnail and other deliverable as soon as it's created, and we waive our moral rights in them to the extent the law allows. You can keep, post, edit or delete them during and after this agreement, including if you leave.
2.3 We keep the rights to our own tools, templates and know-how. We don't claim anything in your content.
3. The licence you give us
3.1 You give us a limited, non-exclusive, royalty-free licence to access, copy, edit and publish the streams, VODs and other material you authorize ("Authorized Content") only to provide the Plan, and only on the accounts you choose.
3.2 Authorized Content means material you send us or tell us in writing (email or chat is fine) that we may use. We don't download from your channel or anywhere else unless you've authorized that source.
3.3 We don't post your content on our own accounts, sell it, license it to others, or use it in our marketing or portfolio unless you agree in writing (for example, the case study in a Pilot Addendum).
3.4 The licence ends when this agreement ends. Shorts you've already posted stay on your accounts, under your control.
4. How we access your accounts
4.1 We never ask for, accept or store your passwords. We use only the platforms' own permission features (Schedule C), with the narrowest role that does the job.
4.2 You can remove our access at any time. If it's removed before the agreement ends, we'll deliver Shorts to you as files instead.
4.3 We'll use two-factor authentication on our own accounts. We'll tell you within 72 hours if we learn that our access to your accounts may have been compromised.
5. Approval and your boundaries
5.1 Before posting, we share each batch of Shorts with you. Unless you've told us to post without review, you have 24 hours to veto any Short. A vetoed Short isn't posted, and it still counts as delivered if you just didn't like it. If it had a real defect, we redo it.
5.2 You can give us a list of things never to post (people, topics, games, moments, model or lore rules). We'll follow it.
5.3 Other people in your streams: you'll tell us if co-streamers or guests haven't agreed to appear in Shorts, and we'll leave them out.
5.4 You can ask us to take down any Short we posted, for any reason. We'll do it within 24 hours of seeing your request.
6. Delivery guarantee (and no view guarantee)
6.1 Delivery: if in any month we deliver fewer Shorts than your Plan includes, you choose either a pro-rated refund for the missing Shorts or make-up Shorts the next month.
6.2 Footage: delivery depends on footage. If you stream fewer than 8 hours in a month, or don't share VODs in time, we'll tell you as early as we can and credit the Shorts the footage couldn't support. This doesn't count as a missed delivery.
6.3 First month: if your first paid month isn't useful to you, tell us within 7 days of that month's report and we'll refund that month in full. This applies once per streamer.
6.4 No results guarantee: platforms decide distribution. We do not promise views, followers, viewers, subscribers, sponsorships or income, and nothing we say should be read as a promise of them. We report results honestly, including when they're poor.
6.5 Pro sponsorship work: on the Pro plan, once you've approved the brand categories we may pitch, we commit to the work, not the result: each month we research at least 20 brands that fit your channel and send at least 8 personal pitches. We report every month how many brands we identified, pitches sent, replies, follow-ups, qualified opportunities, and deals and revenue. If we fall short of the research or pitch numbers in a month, 6.1 applies to that part of the Plan (a pro-rated credit of 25% of that month's fee, or make-up work the next month, your choice). We may pitch fewer if you've approved too few categories or asked us to hold off.
7. Fees and payment
7.1 Monthly Plans are billed in advance each month. The audit and sample shorts are free; any extras you order are billed upfront.
7.2 Prices are listed on our website and in Schedule A. We'll give you 30 days' notice of any price change. You can cancel before it takes effect.
7.2a Founding members: our first 10 paying clients keep the price of their plan at signup for as long as they stay subscribed. A pause under 7.6 doesn't end it; otherwise a gap of more than 30 days does. Moving to another plan uses that plan's founding price, if one was offered when you joined.
7.6 Pausing: you can pause your Plan for up to 2 months in total per 12 months, by email, starting at your next billing date. Nothing is billed or delivered while paused, and your founding price and posting schedule wait for you.
7.7 Annual billing (optional, Growth and Pro): pay 10 months' fees for 12 months. You can cancel an annual plan at any time; we'll refund the unused full months, minus the 2 free months already used at the monthly rate. (Example: cancel after 4 months of a $1,290 Growth year → refund $1,290 − 4 × $129 = $774.)
7.8 Referrals: if you refer a streamer and they pay for a second month, you get one month of your Plan free (up to 3 a year), and they get 50% off their first month. Referral credits have no cash value.
7.3 If a payment is more than 7 days late, we may pause work until it's paid. We charge no late fees or interest.
7.4 Taxes (GST/HST, PST) are added only where we're legally required to charge them.
7.5 We never take a percentage of your platform income (subscriptions, bits, ads, donations, memberships, merch).
8. Sponsorships (only if you opt in)
8.1 A "Sourced Deal" is a brand deal where we introduced you to the brand or made first contact with it on your behalf, and you or the brand accept it during this agreement or within 90 days after it ends.
8.2 For each Sourced Deal you accept, you'll pay us 15% of the cash you actually receive from it, invoiced after you're paid.
8.3 No commission on: deals you find yourself, brands that contact you first, platform programs you join yourself (for example Twitch's sponsorship campaigns through its dashboard), product-only deals with no cash, or any of your other income.
8.4 You decide whether to accept any deal. We'll never sign anything on your behalf. Sponsored posts will be labelled as ads as the platforms and the law require (for example Ad Standards' Influencer Marketing Disclosure Guidelines in Canada and the FTC Endorsement Guides in the U.S.).
9. Ending the agreement
9.1 Month-to-month. You can cancel at any time by email. Cancellation takes effect at the end of the month you've paid for. There's no cancellation fee and no lock-in.
9.2 We can end it with 14 days' notice, or immediately if you ask us to post something illegal or against a platform's rules, or if you don't pay after a pause.
9.3 When it ends: we deliver any finished Shorts, remove our access (and ask you to confirm it's removed), and delete our working copies of your footage and files within 30 days. We keep invoices, this agreement and our record of what you authorized (manifests listing file names and dates, not the footage), because the law or good practice requires them.
9.4 Sections 2, 6.4, 8 (for Sourced Deals already introduced), 10, 11 and 12 survive.
10. Content, platforms and other people's rights
10.1 You confirm you're allowed to stream the games and other material in your Authorized Content (most publishers allow this under their video policies) and that the content follows the platforms' rules.
10.2 We avoid using copyrighted music and follow publishers' published video policies we know about. If a Short gets a claim or strike, we'll take it down and help you respond.
10.3 We follow each platform's terms when we post. We don't use bots, bought engagement, view farms, engagement pods, or fake accounts.
11. Privacy and confidentiality
11.1 We collect only what we need: your name, business email, channel links, payment details (handled by the payment processor; we don't see full card numbers), and platform analytics you share for reports. We handle it under Canada's privacy laws (PIPEDA and, where it applies, BC's PIPA) and don't sell it.
11.2 We keep your non-public information (analytics, earnings, unreleased plans, sponsor terms) confidential, except where the law requires or you agree otherwise.
11.3 We send you service emails about your account. We send marketing only with your consent, and you can opt out at any time.
12. Liability
12.1 Each of us is responsible for our own legal compliance.
12.2 We're not liable for platform decisions such as algorithm changes, reach, demonetization, or account actions not caused by our breach of this agreement.
12.3 Except for fraud, wilful misconduct, or breach of section 4 (account access) or 11.2 (confidentiality), our total liability under this agreement is limited to the fees you paid us in the 3 months before the claim. Neither of us is liable for indirect or lost-profit damages.
13. General
13.1 BC law and the federal laws of Canada that apply there govern this agreement. Courts in Vancouver, BC have jurisdiction. We'll try to sort out any disagreement by talking first.
13.2 Notices go by email to the addresses on the order (ours: [your Primo email]).
13.3 We're an independent contractor, not your employee, manager or agent. We can't sign anything for you.
13.4 We may use subcontracted editors only with your written OK. They'll be bound by the same rules.
13.5 If part of this agreement is unenforceable, the rest still applies. This agreement (plus the order and any addendum) is the whole deal. Changes must be in writing, and email counts.

Schedule B: Pilot Addendum (free pilots only)
- Pilot: 4 weeks, up to 12 Shorts at Growth-plan level, free. No obligation to buy anything afterwards.
- Case study: in return, you allow us to publish a case study that uses your channel name, before-and-after numbers from your analytics, and up to 3 of the pilot Shorts. You see the case study before it's published and can ask for changes. You can withdraw permission any time before publication. After publication, we'll take it down on request within 7 days (copies others have already made are outside our control).
- Data for the case study: we take the baseline and end-of-pilot numbers from public Twitch data, TwitchTracker and the post analytics of the accounts you connect. If you'd like to add private numbers from your own dashboards, you may, but you don't have to.
- Everything else in this agreement applies, including ownership, approval, takedown and deletion.
Schedule C: Approved Access Methods (no passwords, ever)
| Platform | What we use | What you do |
|---|---|---|
| Platform | What we use | What you do (about 3 minutes in total) |
| Twitch (to make and download clips of your streams) | Default: Twitch's Editor role for our Primo account. We use it only to create clips from your past broadcasts, download clips and read your stream markers, through Twitch's official API. Alternative: you approve our app with clips-only permissions (channel:manage:clips, user:read:broadcast) at twitch.tv/activate | Add our account as Editor on your Roles page, or enter the code we send. Turn on "Store past broadcasts". Editor can also change stream info and manage videos; we won't use those powers |
| YouTube, TikTok, Instagram (to post) | Each platform's official "connect your account" screen, through our posting service (Zernio), with permission to post and read post analytics only | Tap Connect on your setup page. Instagram needs a free Creator or Business account |
| No connection | We deliver finished files and captions, and you post them | Nothing to set up |
Clips we create from your broadcasts appear on your Twitch Clips page; you can delete any of them. Role and permission names change; we always use the narrowest option that does the job.
